This Privacy Policy explains how KRK Communications, Inc., operating as Gradaya ("Gradaya," "we," "us"), collects, uses, and shares information through our sports-academy management platform (the "Service"). It applies to club staff (Club Admins, Staff, Trainers), parents/guardians using the Parent Portal, and information about enrolled athletes, including minors.
Role note (subject to legal review): For a club's own *member* data (athletes, guardians), Gradaya may act as a service provider processing on that club's behalf under a written contract; the club is the responsible party for notice and consent to its members. Gradaya acts as a business for its own account-holder data (club staff, portal users) and for operating the Service.
Gradaya is a business-to-business platform used by sports academies to manage their own members, including minors. We do not knowingly collect information directly from children. A minor athlete's information is entered by the club (staff) or the minor's parent/guardian, who is responsible for having appropriate authority and, where required by COPPA and applicable law, consent. If you believe a child provided us information directly without authorization, contact us and we will delete it.
To operate and provide the Service (attendance, dues billing, ID cards, exams, scheduling); process payments; send transactional communications (dues reminders, receipts, password resets, club announcements); maintain security; and comply with legal obligations. We do not sell personal information, and we do not use athlete or guardian information for advertising.
We process personal information to perform our contract with the club, to pursue our legitimate interest in operating and securing the Service, to comply with legal obligations, and — for any special-category data such as blood type — on the basis of consent obtained by the club/parent. *(Counsel to confirm the framework and map it to the applicable state-law "purpose" disclosures.)*
We share information only with service providers needed to operate the Service: Stripe, Inc. (payment processing for subscriptions and online dues collection), SMTP2GO (transactional email), ReliableSite (cloud hosting), and Anthropic (AI — reading uploaded payment receipts, and suggesting column mappings during roster import). Each processes data as our subprocessor. *(Counsel to confirm the Anthropic "no training" representation.)* We do not otherwise share personal information except with your club's own authorized staff (inherent to the Service), to comply with a legal obligation, or with your consent.
We use industry-standard measures including HTTPS encryption, hashed passwords, role- and tenant-scoped access controls (so one club's staff cannot access another club's data), backups, and monitoring. No method of transmission or storage is completely secure. *(Team/counsel: define the breach-notification process required by applicable state laws.)*

We retain account and athlete data while the associated club account is active, and for a reasonable period afterward for account recovery and legal/accounting obligations (e.g., payment records). A club can request deletion of specific records or its entire account; some records may be retained longer where required by law.
Our providers may process data outside the country where you or your club are located; where this occurs we rely on their data-transfer safeguards and contractual commitments. *(Primarily relevant if a club or user base is outside the US.)*
The Service uses browser local storage (not third-party advertising cookies) to keep you signed in. We do not use the Service to track you across other websites.

Agreement means these Terms of Service together with all documents incorporated by reference.
Company means KRK Communications, Inc., operating the Gradaya platform.
Platform / Service means the Gradaya cloud-based Software-as-a-Service platform for running a sports academy — including its web application, parent/athlete portal, trainer app, APIs, administrative interfaces, reporting, communication, payment, and AI functionality.
Customer / Club means any sports academy, dojo, club, school, or other organization or person subscribing to the Platform.
Administrator means an individual designated by the Club to administer its Gradaya account.
Authorized User means any individual granted access by the Club — including club owners, staff, and trainers.
Athlete means an individual (including a minor) whose membership, attendance, dues, and progression are managed through the Platform.
Parent/Guardian means an individual who accesses the Parent Portal in relation to one or more Athletes, or an adult Athlete managing their own account.
Club Data means all information entered into or stored within the Platform by or on behalf of the Club, including Athlete, guardian, attendance, dues, and payment records.
Subscription means the right to access and use the Platform during the applicable term.
By creating an account, purchasing a subscription, or otherwise using the Platform, the Club agrees to be bound by this Agreement. If an individual accepts on behalf of an organization, that individual represents that they have authority to bind it; absent such authority, they must not use the Platform on the organization's behalf.
To use Gradaya: the Club must be legally capable of entering binding contracts; account information must be accurate; Authorized Users must comply with this Agreement; and the Club must comply with all applicable laws. The Club is responsible for the activities of its Authorized Users.
Gradaya is a cloud-based management platform for sports academies. Depending on the subscription, the Platform may include: athlete roster and enrollment management; attendance tracking (including QR/ID-card check-in); dues (membership fee) generation, tracking, and reminders; online dues collection from parents by card; belt/rank and level exam management with progression history; class scheduling; a finance dashboard; announcements; branded ID cards; data export; a parent/athlete portal; a trainer app; multi-location management; AI-assisted document reading and roster import; email notifications; and administrative tools.
The Company continuously improves the Platform and may modify, add, or discontinue functionality. No particular feature is guaranteed to remain unchanged indefinitely unless stated in writing.
Each Club receives its own organizational account and is responsible for maintaining accurate information, protecting credentials, assigning appropriate permissions, promptly removing access for former staff, and reviewing user access regularly. The Club remains responsible for activity under its account unless caused by the Company's negligence or willful misconduct.
The Platform supports role-based permissions (e.g., Club Admin, Staff, Trainer) and separate parent/athlete Portal accounts. Clubs determine which users receive access to which features. The Company is not responsible for permissions assigned by the Club.
Gradaya is provided on a subscription basis, priced per active athlete with a free tier for small clubs, as described on the Company's pricing page or an applicable order form. The Company may introduce new tiers or optional services. Unless stated otherwise, fees are exclusive of applicable taxes, for which the Club is responsible (excluding taxes on the Company's income).
Where a Club enables online dues collection, payments from parents are processed by Stripe through a connected account established by the Club. The Club is the merchant of record for dues collected from its parents; funds are paid out to the Club's own bank account. The Company charges a per-transaction platform fee (as disclosed at enablement) on dues collected through the Platform. Card details are entered directly into Stripe-hosted pages and are never stored on Company servers. The Club is responsible for complying with the applicable Stripe terms and with laws governing its collection of fees from its members. The Company does not act as a bank, money transmitter, or holder of Club or parent funds.
Clubs agree to: maintain accurate information; ensure the lawful collection of personal information (including, where applicable, obtaining consent from parents/guardians for minors' data — see Section 12); comply with privacy and consumer-protection laws applicable to them; maintain appropriate security practices; promptly report unauthorized access; and ensure Authorized Users comply with this Agreement. Clubs remain solely responsible for the accuracy and legality of Club Data.
Customers and Authorized Users may not: use the Platform unlawfully; upload malicious software; interfere with operations; attempt unauthorized access; reverse engineer except where permitted by law; scrape or harvest data without authorization; circumvent subscription limits; infringe third-party rights; misuse AI functionality; impersonate others; or upload illegal or fraudulent content. Violations may result in suspension or termination.
The Platform processes information about Athletes — including minors — as directed by the Club. The Club (and, where applicable, the parent/guardian) determines what information is collected, why, who may access it, how long it is retained, and when it is deleted. The Company processes Club Data only as necessary to provide the contracted services. The Club is responsible for obtaining any parental consent required by law before entering a minor's information.
Gradaya is a business tool used by Clubs to manage their own members, including minors. The Company does not knowingly collect personal information directly from children. A minor Athlete's information is entered by the Club or the minor's parent/guardian, who is responsible for having appropriate authority and any consent required under the Children's Online Privacy Protection Act (COPPA) and applicable law. See the Privacy Policy for details.
Gradaya includes optional AI functionality (for example, reading uploaded payment receipts and suggesting column mappings when importing a roster) intended to reduce manual work. AI-generated output may contain inaccuracies and is intended to assist, not replace, human review; users remain responsible for reviewing AI output before relying on it. The Company does not guarantee the accuracy or suitability of AI-generated results and may modify or discontinue AI functionality as technology evolves.
Subscriptions are month-to-month unless an order form states otherwise; the Company may adjust future pricing on reasonable notice, not retroactively. Non-payment may result in reminders, feature restrictions, suspension, or termination. The Company may suspend access to protect security, investigate suspected fraud or misuse, address non-payment, or comply with law; advance notice is given where practicable, and emergency suspensions may be immediate.
Either party may terminate in accordance with the applicable plan. Upon termination, access may be disabled and accounts deactivated; future charges cease except for outstanding amounts; and Club Data is retained only as required by contract or law. Termination does not relieve accrued obligations.
The Club retains ownership of all Club Data. The Company claims no ownership of athlete records, attendance, dues, communications, uploaded documents, or reports. The Club grants the Company a limited, non-exclusive license to process Club Data solely to operate and secure the Platform, provide support, create backups, and comply with law. This license ends when Club Data is deleted or when legal retention obligations expire.
The Platform — software, databases, APIs, designs, trademarks, and related technology — is the exclusive property of the Company or its licensors. Clubs receive a limited, non-exclusive, revocable, non-transferable license to use the Platform during an active subscription, and may not copy, reverse engineer (except as permitted by law), distribute, sublicense, or create derivative works, or remove proprietary notices.
Each party will protect the other's confidential information with reasonable care. Confidential Information excludes information that is public without breach, already lawfully known, independently developed, or lawfully obtained elsewhere. These obligations survive termination.
The Company maintains commercially reasonable safeguards, which may include HTTPS encryption, password hashing, role-based access control, per-club data isolation, backups, and monitoring. Clubs remain responsible for protecting credentials, assigning permissions, and reporting suspected incidents. No internet-based system is completely secure.
The Company uses commercially reasonable efforts to maintain availability but does not guarantee uninterrupted service. The Platform relies on third-party providers, currently including ReliableSite (cloud hosting), SMTP2GO (transactional email), Stripe (payment processing), and Anthropic (optional AI features). These providers process information only as needed to perform their services. The Company may add or replace providers and will maintain a subprocessor list. The Company is not responsible for third-party outages or independent operational decisions.
To the fullest extent permitted by law, the Platform is provided "AS IS" and "AS AVAILABLE." The Company disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and complete accuracy of AI-generated output.
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or punitive damages, or for lost revenue, goodwill, or data not caused by its willful misconduct. The Company's aggregate liability shall not exceed the total subscription fees paid by the Club in the twelve (12) months preceding the claim. Nothing limits liability where prohibited by law.
The Club agrees to defend, indemnify, and hold harmless the Company and its personnel from claims arising out of Club Data, violations of this Agreement or law, infringement of third-party rights, misuse of the Platform, or acts of Authorized Users. This survives termination.
Clubs will use the Platform in compliance with applicable laws (privacy, consumer protection, youth-activity, anti-discrimination, electronic communications, records). Clubs may not assign this Agreement without the Company's consent; the Company may assign in connection with a merger, acquisition, or reorganization. Neither party is liable for delays caused by circumstances beyond its reasonable control.
This Agreement is governed by the laws of the State of [STATE — e.g., Maryland], United States, without regard to conflict-of-laws principles. The parties will attempt to resolve disputes informally before submitting them to the state or federal courts located in [STATE]. Either party may seek injunctive relief to protect confidential information, intellectual property, or Platform security.
The Company may revise these Terms to reflect changes in law, the Platform, security, or operations. Material revisions take effect on the date specified and may be notified by in-app notice, email, or website publication. Continued use after the effective date constitutes acceptance, to the extent permitted by law.
